Acceptance of Terms

By accessing or using ai-cto.com (the “Website”) and our services, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and AI CTO, operated by Hypeworkz Pte Ltd (“AI CTO,” “we,” “us,” or “our”).

Description of Services

AI CTO provides virtual Chief Technology Officer services to small and medium-sized enterprises (SMEs), including:

  • Free AI Readiness Assessment: Online questionnaire to evaluate your business’s AI adoption readiness
  • WhatsApp Advisory Service: Technical guidance, tips, and recommendations delivered via WhatsApp (both automated and live agent support)
  • Vendor Recommendations: Introduction to technology vendors and solution providers based on your needs
  • Premium Subscription Services: Advanced technical guidance, priority support, implementation oversight, and exclusive vendor access (if applicable)

User Eligibility

You must be:

  • At least 18 years of age
  • Authorized to represent your business or organization
  • A legitimate business entity (not for personal consumer use)

By using our services, you represent and warrant that you meet these eligibility requirements.

Assessment and WhatsApp Enrollment

When you complete our AI readiness assessment, you provide:

  • Your name and mobile number
  • Explicit consent to receive WhatsApp messages from AI CTO
  • Information about your business and technology needs

By submitting the assessment form, you consent to:

  • Receive your assessment results via WhatsApp
  • Receive proactive tips, guidance, and recommendations via WhatsApp
  • Communication from our AI chatbot and live agents

Opt-Out Rights

You may opt out of proactive WhatsApp messages at any time by sending “UNSUB 2233” via WhatsApp. Even after opting out, you can still initiate conversations with us, and our chatbot or live agents will respond to your inquiries.

User Obligations and Acceptable Use

You agree to:

  • Provide accurate and truthful information
  • Use our services only for lawful business purposes
  • Not share highly sensitive or confidential business information via WhatsApp
  • Respect intellectual property rights
  • Not attempt to reverse engineer, decompile, or extract our proprietary technology
  • Not use automated tools to scrape, harvest, or collect data from our platform
  • Not impersonate others or misrepresent your affiliation with any entity
  • Not transmit malicious code, viruses, or harmful content

Intellectual Property Rights

Our Intellectual Property

All content, features, functionality, software, and materials on ai-cto.com, including but not to:

  • Website design, text, graphics, logos
  • AI assessment tools and recommendation algorithms
  • Proprietary methodologies and frameworks
  • WhatsApp chatbot and automation systems

…are owned by Hypeworkz Pte Ltd and protected by Singapore and international intellectual property laws.

Your Data

You retain ownership of the information you provide to us. By using our services, you grant us a limited license to use, process, and analyze your data to deliver services, improve our platform, and generate insights (in anonymized, aggregated form).

Service Limitations and Disclaimers

Advisory Nature

AI CTO provides general technical guidance and recommendations. Our services:

  • Are for informational and advisory purposes only
  • Do not constitute professional consulting, legal, financial, or investment advice
  • Do not guarantee specific business outcomes or ROI
  • Are based on information you provide, which we assume to be accurate

You are responsible for making final decisions regarding technology investments and implementations.

No Warranty

Our services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied, including but not to:

  • Merchantability or fitness for a particular purpose
  • Uninterrupted or error-free service
  • Accuracy or reliability of content or recommendations
  • Security of data transmission over WhatsApp or internet

Technology Limitations

  • WhatsApp service depends on third-party infrastructure (Meta/WhatsApp Business API)
  • Internet connectivity issues may affect service delivery
  • AI chatbot responses are automated and may not always be accurate
  • Live agent availability may vary

Vendor Relationships and Commissions

Vendor Introductions

We may introduce you to technology vendors and solution providers. These introductions:

  • Are based on your assessment and stated needs
  • Do not constitute endorsements or guarantees
  • Are subject to vendors’ own terms, pricing, and service agreements

You are solely responsible for evaluating vendors, negotiating terms, and making purchase decisions.

Commission Disclosure

We may receive commissions or revenue share from vendors when you purchase solutions through our recommendations. These commercial relationships do not affect the integrity of our recommendations, which are based on your assessment and fit.

Premium Subscription Terms (If Applicable)

Subscription Plans

If you subscribe to premium features:

  • Billing: Monthly or annual subscription fees as specified at signup
  • Auto-Renewal: Subscriptions auto-renew unless cancelled
  • Cancellation: You may cancel anytime; cancellation takes effect at the end of the current billing period
  • Refunds: No refunds for partial months or unused service periods
  • Price Changes: We may change subscription pricing with 30 days’ notice

Payment Terms

  • Payment is processed through our third-party payment provider
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension
  • You are responsible for all applicable taxes

Limitation of Liability

To the maximum extent permitted by Singapore law:

  • Indirect Damages: We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption
  • Maximum Liability: Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim (or SGD 100 if you are a free user)
  • Vendor Issues: We are not liable for vendor performance, product defects, or disputes arising from vendor relationships

Indemnification

You agree to indemnify and hold harmless AI CTO, Hypeworkz Pte Ltd, and our affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Information you provide to us

Data Protection and Privacy

Your use of our services is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

Term and Termination

Term

These Terms remain in effect while you use our services.

Termination by You

You may terminate your use of our services at any time by:

  • Sending “UNSUB 2233” via WhatsApp
  • Contacting [email protected] to request account deletion
  • Cancelling your premium subscription (if applicable)

Termination by Us

We reserve the right to suspend or terminate your access to our services immediately, without notice, if:

  • You violate these Terms
  • Your use poses security or legal risks
  • You engage in fraudulent or abusive behavior
  • Required by law or regulatory authority

Effect of Termination

Upon termination:

  • Your right to use our services ceases immediately
  • We may delete your account and data (subject to legal retention requirements)
  • Provisions regarding intellectual property, liability limitations, and indemnification survive termination

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute arising from these Terms or our services:

  1. Informal Resolution: We encourage you to contact us at [email protected] to resolve disputes informally
  2. Mediation: If informal resolution fails, parties agree to attempt mediation
  3. Jurisdiction: Any legal action must be brought in the courts of Singapore, and you consent to the exclusive jurisdiction of Singapore courts

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon:

  • Posting the updated Terms on our website with a new “Last Updated” date
  • For material changes: notification via WhatsApp or email (for registered users)

Your continued use of our services after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI CTO regarding use of our services and supersede any prior agreements.
